Terms & Conditions

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

These Terms apply in conjunction with the general Terms of Service that govern all WarPulse LLC services (available at warpulse.com/terms). By using WarpStash, you agree to both. Where these Terms and WarPulse's general Terms of Service conflict on a matter specific to WarpStash, these Terms govern for that matter.

You must be at least 16 years old, or the age of legal majority in your jurisdiction if higher, to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

WarpStash provides cloud file storage, organization, and sharing. Depending on your plan, this includes: general-purpose storage ("My Stash"); optional end-to-end encrypted storage ("Vault"), where file names, folder names, and file contents are encrypted on your device before upload, such that WarPulse cannot read their contents; an S3-compatible API ("X3") allowing compatible third-party tools to access your non-Vault buckets directly; and desktop sync between your device and your account.

You choose whether your account's storage is located in our United States or European Union region at signup. This choice determines which regional infrastructure stores your files. Existing accounts created before the EU region was available may be offered a one-time, one-way option to move their non-Vault data to the EU region; Vault data is never relocated between regions under any circumstances. Once made, a region choice or a completed region switch cannot be reversed.

We may add, change, or remove features of the Service at any time. We will make reasonable efforts to notify you of material changes that affect your ability to access your own content.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at accounts@warpulse.com if you suspect unauthorized use of your account.

If you enable Vault encryption, you are solely responsible for safeguarding your passphrase and any recovery material we provide. WarPulse does not have access to your Vault encryption keys and cannot recover Vault content if you lose your passphrase and recovery material.

You agree not to use the Service to:

• store or distribute content that is unlawful, infringing, or that you do not have the right to store or share;
• upload malicious code, or attempt to gain unauthorized access to the Service, other accounts, or our infrastructure;
• interfere with or disrupt the integrity or performance of the Service;
• use the X3 API or any automated means to circumvent storage, transfer, or rate limits associated with your plan; or
• use the Service in a manner that violates applicable law, including export control and sanctions laws.

We may suspend or terminate accounts that violate this section, with or without notice, as reasonably necessary to protect the Service or other users.

You retain all ownership rights in the files and data you store on WarpStash ("Your Content"). You grant WarPulse a limited license to host, store, back up, and transmit Your Content solely as necessary to provide the Service to you. We do not access, scan, or use the content of your files for any purpose other than providing, securing, and supporting the Service, except where required by law.

You are solely responsible for Your Content and for having all rights necessary to store and share it through the Service.

Paid plans are billed in advance on a monthly or annual basis through our third-party payment processor. By subscribing, you authorize recurring charges until you cancel. You can change or cancel your plan at any time from your account's billing page; changes take effect according to the proration and renewal terms shown at checkout.

Downgrading or canceling never deletes Your Content. If your usage exceeds your new plan's storage or transfer limits, new uploads or downloads may be paused until you are back within your plan's limits or you upgrade again.

Fees are non-refundable except where required by law or as we expressly state at the time of purchase.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you materially breach these Terms, or as required to comply with law. Upon termination, your right to use the Service ends immediately; we will handle any remaining data in your account consistent with our Privacy Policy.

We work to keep the Service reliable and secure, but the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, WarPulse LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms or the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless WarPulse LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

These Terms are governed by the laws of the State of Indiana, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Indiana, and you consent to personal jurisdiction there. This section does not deprive consumers who reside in the European Union of protections afforded to them by mandatory provisions of the law of their country of residence.

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms on this page and updating the "Last updated" date above, or by emailing the address on your account. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
